Further to the announcement by Middle East Financial Investment Company (“MEFIC Capital”), in its capacity as the fund manager of MEFIC REIT Fund (the “Fund”), published on 02/04/1448H, corresponding to 13/09/2026G, regarding an update on the Makkah property, the amendment of the sale and purchase agreements, and the approval of the Fund’s Board of Directors to increase the Fund’s total asset value.

MEFIC Capital, in its capacity as the Fund Manager, would like to announce the following to the unitholders:

1. Amending the Final Date (as defined in the Jeddah Agreement) to be 20/06/1448H, corresponding to 30/11/2026G, or any other date agreed upon by the parties in writing.

1. 2- Makkah Property: With reference to the land sale and purchase agreement relating to the property located in the city of Makkah, signed on 24/09/1447H, corresponding to 13/03/2026G (the “Makkah Agreement”), the parties to the Makkah Agreement have agreed to amend certain of its provisions under an amendment agreement to the sale and purchase agreement signed on 10/05/1448H, corresponding to 21/10/2026G (the “Makkah Property Amendment Agreement”). Under the Makkah Property Amendment Agreement, the parties agreed to the following:

   Amending the Final Date (as defined in the Makkah Agreement) to be 20/06/1448H, corresponding to 30/11/2026G, or any other date agreed upon by the parties in writing.

1. 3- Jazan Property: With reference to the memorandum of understanding relating to the study of the possibility of acquiring the usufruct right of a property located in the city of Jazan, which expires on 22/10/2026G, the Fund Manager would like to inform the unitholders that the parties have agreed not to renew the memorandum of understanding, due to the fact that no agreement has been reached between the parties.

MEFIC Capital expects that, upon completion of the transaction and the increase in the Fund’s total asset value, there will be a positive impact on the Fund.

MEFIC Capital will announce any subsequent developments in due course, noting that the increase in the Fund’s total asset value is subject to the approvals of the Capital Market Authority, the Saudi Exchange (Tadawul), and the Fund’s unitholders.
